1. Who we are

Engage Trade is the trading name of Ashley Tew, a sole trader registered in England. When these terms say "we", "us", or "the operator", they mean Ashley Tew trading as Engage Trade. When they say "you" or "the customer", they mean the business or person receiving a demo offer, requesting a demo, or purchasing our services.

Our website is engagetrade.uk.

These terms should be read alongside our privacy notice.

2. What these terms cover

These terms of service set out the rules that apply when you use any of our services.

They cover:

  • Free demo websites we offer before asking for payment.
  • The outright purchase service.
  • Monthly hosting and managed website plans.

By purchasing a service from us, you confirm that you have read and agree to these terms. If you do not agree, do not proceed with a purchase.

These terms do not create any obligation on either party until payment has been made and accepted.

3. How our free demo offer works

3.1 What we do first

We identify UK small businesses that have a Google Business Profile but no website or no proper web presence. We may then contact that business to offer a free demo website before asking for any payment.

We no longer create and publish a demo site before making contact. If you ask to see a demo, or otherwise show interest in the offer, we may prepare a working demo using publicly available information and information you provide, including:

  • Business name, address, phone number, and service area.
  • Public listing details, opening times, service descriptions, and reviews.
  • Text, images, branding, or instructions you choose to send us.

The demo site may be hosted on a subdomain of our website, for example yourbusiness.engagetrade.uk, so you can review it.

3.2 The demo site notice

Every free demo site displays a clear notice stating that:

  • It is a demonstration built by Engage Trade.
  • It is not the official website of the business unless and until it is purchased or transferred.
  • It creates no payment obligation unless you choose a paid service.

3.3 No obligation

Receiving a demo offer, asking to see a demo, or reviewing a demo site does not create any contract or payment obligation between us and the featured business. A contract starts only when payment has been made and accepted for a paid service.

3.4 Takedown of demo sites

If a business owner contacts us and asks for their demo site to be removed, we will take it down within 24 hours of receiving the request. No reason needs to be given.

If you decline our services, or if no paid service is agreed within 30 days after we send the demo link, we will remove the demo site unless we agree a different review period with you in writing.

3.5 Form submissions on demo sites

If a demo site includes a contact form, any submissions received through it are held by us and are not forwarded to the business unless we have expressly agreed otherwise.

If the business later purchases a service from us, form submissions received during the free demo period will be handed over to them. If the demo site is taken down without a purchase being made, those submissions will be securely deleted within 30 days.

4. Service option 1: Outright purchase

4.1 What you get

For a one-off payment of £349 at the introductory rate, you receive the complete website as built files, including HTML, CSS, JavaScript, and associated assets.

4.2 Content changes at handover

Before handover, you may request one round of content changes. This works as follows:

  • You send one set of instructions covering all requested changes.
  • We make those changes and send the result for review.
  • You may request one round of revisions to those changes.
  • After that, the site is considered final.

Changes we will make include text updates, image updates, icon changes, removing sections, and colour changes.

Changes we will not make include new features, new functionality, or connecting third-party services such as booking systems, payment processors, or analytics tools.

You must provide all instructions and materials in a single communication. We are not able to accept changes spread across multiple separate requests.

4.3 Domain setup support

We will help you set up your domain name and initial hosting configuration by email for 30 calendar days from the date payment is received. This is limited to guidance and does not include us accessing or managing your hosting account.

4.4 After handover

  • The demo subdomain will be removed.
  • You are solely responsible for hosting, maintaining, and updating your site.
  • We have no ongoing obligation to you in relation to the website.

5. Service options 2-4: Monthly plans

5.1 Setup phase for monthly plans

Unless we agree otherwise in writing, each monthly plan has a one-off setup fee of £149. The setup fee covers:

  • Transferring the site from our demo subdomain to your own domain.
  • Domain registration assistance, including a credit of up to £15 toward the cost of your domain. If the domain costs more than £15, you must pay the balance before the site goes live.
  • One round of content changes, using the same scope and process as section 4.2.
  • Initial configuration of hosting.

5.2 Hosting-only plan: £15 per month

The hosting-only plan covers:

  • Hosting the website on our infrastructure.
  • Basic technical maintenance needed to keep the site online.
  • Support for hosting availability issues.

The hosting-only plan does not include routine content changes, SEO work, blog writing, new pages, or general website support. Those items may be quoted separately.

5.3 Managed updates plan: £39 per month

The managed updates plan includes everything in the hosting-only plan, plus:

  • Routine content updates, up to 4 update requests per calendar month. An update request is a single email asking us to change text, photos, opening hours, services listed, or similar content. Unused requests do not roll over.
  • Technical maintenance, including security patches, uptime monitoring, and performance upkeep.
  • Email support for questions about your site.

5.4 Growth support plan: £69 per month

The growth support plan includes everything in the managed updates plan, plus:

  • Unlimited routine content change requests, subject to fair use and reasonable turnaround times.
  • Advanced SEO improvements, such as metadata refinement, internal linking, local search signals, and content recommendations.
  • Up to 2 blog posts per calendar month, based on information, topics, or approvals you provide in good time.

Unused blog posts do not roll over. Advanced SEO work is best-effort and does not guarantee any particular ranking, traffic level, lead volume, or sales result.

5.5 What counts as out-of-scope work

The following are not included in any monthly plan and may be quoted separately:

  • Adding substantial new pages, sections, or features.
  • Redesigning the site or making major structural changes.
  • Integrating new third-party services.
  • Creating a separate new website or microsite.
  • Any work that goes beyond routine updates to the existing site.

5.6 Cancellation

You can cancel a monthly plan at any time. There is no minimum term and no cancellation fee. To cancel, email us and we will confirm receipt.

On cancellation, we will provide a complete copy of your site files at no extra charge, provided the site has already been bought outright or the total amount you have paid to us, including setup fee and all monthly subscriptions, is at least £349. If the total paid is less than £349, you must pay the difference before we release the files.

5.7 Non-payment

  • Immediately: your site will be taken offline from the first day after payment was due.
  • Within 60 days: you may request a copy of your site files, subject to the £349 minimum described above.
  • After 60 days: your site files will be permanently deleted and we will have no further obligation to provide them.

6. Payment

All prices are in pounds sterling and are exclusive of VAT. Engage Trade is not currently VAT-registered. If that changes, we will notify you.

Payment is due at the time of purchase for one-off fees and monthly in advance for subscriptions.

We reserve the right to change prices at any time. Any price change will not affect services already purchased or subscriptions already running, except that subscription prices may be increased on 30 days' written notice.

7. Your right to cancel

If you are a consumer or sole trader acting outside the scope of a trade, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 may give you the right to cancel a distance purchase within 14 days of entering the contract, without giving a reason.

However, because our services involve digital content, you agree that:

  • We may begin delivering the service immediately after your purchase.
  • You expressly consent to this.
  • Once delivery of digital content has begun, you lose your right to cancel under the Regulations.

If we have not begun delivering the service and you cancel within the 14-day period, we will issue a full refund.

8. Intellectual property

8.1 Before purchase

Until an outright purchase is made or a monthly plan begins, all intellectual property in the free demo site, including its design, layout, code, and structure, belongs to us.

Publicly available content used on the demo site, such as business name, address, reviews, listing details, and photos, remains the property of whoever owns it.

8.2 On outright purchase

When you complete an outright purchase, we transfer to you all intellectual property rights in the website files we deliver, except:

  • Any third-party assets, such as stock images, icon libraries, or fonts, which remain subject to their own licences.
  • Our underlying tools, templates, and code frameworks, which we may continue to use for other customers.

We grant you a perpetual, non-exclusive licence to use any such underlying tools and frameworks as part of your delivered site, but you may not redistribute them separately.

8.3 Under monthly plans

While you are subscribed to a monthly plan, we grant you a licence to use the website for your business purposes. Full ownership of the site files transfers to you when you cancel and receive your files, subject to the same exceptions as section 8.2 and the file-release terms in section 5.6.

8.4 Content you provide

If you provide us with text, images, or other content for your site, you confirm that you have the right to use that content and grant us permission to include it on your website. You are responsible for ensuring that anything you supply does not infringe anyone else's rights.

9. Data protection and privacy

9.1 During the free demo period

While a free demo site is live and no paid service has started, we act as the data controller for any personal data collected through the site, such as contact form submissions.

We process that data in line with our privacy notice and applicable data protection law, including the UK GDPR.

9.2 On purchase

When you purchase a service from us, responsibility for personal data associated with your website transfers to you.

  • Outright purchase: once we hand over the site files, you become the data controller for any personal data collected through the site going forward. We will also provide any form submissions collected during the free demo period.
  • Monthly plans: you are the data controller for personal data collected through your site. We act as a data processor, hosting and, where included in your plan, maintaining or updating the site on your behalf. We will process data only on your instructions and in accordance with applicable law.

Once you take ownership of or responsibility for the website, you are responsible for complying with data protection law, including having your own privacy policy, responding to data subject requests, and ensuring lawful processing.

9.3 On cancellation or takedown

If a demo site is removed without a paid service being purchased, any personal data collected through it will be securely deleted within 30 days.

If a monthly plan is cancelled and files are handed over, we will delete our copies of your site data within 30 days of handover, unless we are required by law to retain it.

10. Limitation of liability

10.1 What we are not responsible for

To the fullest extent permitted by law:

  • We do not guarantee any particular business outcome, leads, sales, or revenue.
  • We are not liable for any loss of business, profit, data, reputation, or opportunity arising from the use or inability to use your website.
  • We are not liable for downtime, loss, or damage caused by factors outside our reasonable control, including hosting provider failures, domain registrar issues, cyberattacks, or internet outages.
  • We are not responsible for the accuracy, legality, or completeness of any demo site content based on publicly available information or content you provide.

10.2 Cap on liability

If we are found liable to you for any reason, our total liability is limited to the amount you have actually paid us in the 12 months immediately before the event giving rise to the claim.

10.3 Nothing in these terms excludes or limits

Nothing in these terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation.
  • Any other liability that cannot be excluded or limited under English law.

11. Your responsibilities

You agree to:

  • Provide accurate and complete information when requesting changes or setting up your site.
  • Ensure that any content you supply does not infringe any third party's intellectual property, privacy, or other rights.
  • Not use the website for any unlawful purpose.
  • Pay all fees on time. For monthly plan customers, late payment may result in the site being taken offline immediately as described above.

12. Resolving disputes

If you have a complaint or dispute about our services, contact us by email first at hello@engagetrade.uk. We will do our best to resolve matters informally and aim to respond within 14 days.

If we cannot resolve the matter informally, either party may pursue the dispute through the courts of England and Wales.

13. Changes to these terms

We may update these terms from time to time. If we make changes that materially affect your rights or obligations:

  • Monthly plan customers: we will notify you by email at least 30 days before the changes take effect. If you do not agree, you may cancel before they come into force.
  • All other customers: the terms in force at the time of purchase will continue to apply to that purchase.

The latest version of these terms will always be available on our website.

14. General

14.1 Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

14.2 Entire agreement

These terms, together with any order confirmation we send you, make up the entire agreement between us. They replace any previous discussions, promises, or agreements on the same subject.

14.3 Severability

If any part of these terms is found to be unenforceable by a court, the rest of the terms will continue to apply.

14.4 No waiver

If we do not enforce any right under these terms straight away, that does not mean we have given up that right.

14.5 Third-party rights

These terms are between you and us. No other person has the right to enforce any of them under the Contracts (Rights of Third Parties) Act 1999.

14.6 Assignment

You may not transfer your rights under these terms to anyone else without our written agreement. We may transfer our rights and obligations to another business, provided it does not reduce your rights under these terms.
